MESA SOCIAL PLANNER MOBILE APPLICATION: TERMS & END USER LICENSE AGREEMENT

This MESA SOCIAL PLANNER MOBILE APPLICATION End User License Agreement (“License Agreement”) is a binding agreement between You (the “End-User”) and Meal Social Inc., located at 7995 Blue Diamond Rd #102-119, Las Vegas, NV 89113, United States (referred to herein as “Licensor,” “Company,” “we,” or “MESA”). This License Agreement governs Your use of the MESA mobile application (“Application”).
By downloading, installing, or using the Application, You acknowledge and agree to be bound by all the terms and conditions of this License Agreement, our Privacy Policy, and our Child Safety & Community Well-being Policy, all of which are incorporated herein by reference.
You acknowledge that Apple Inc. (“Apple”) and Google LLC (“Google”) are not parties to this License Agreement and are not responsible for the Application. MESA is solely responsible for the Application and its content.
All rights not expressly granted to You are reserved by MESA.
1. The Application: MESA Social Planner Mobile Application MESA is a sophisticated AI-powered mobile application designed to simplify the planning of group meals and events. The Application leverages artificial intelligence, machine learning, and integrations with third-party data providers to offer personalized recommendations, streamline coordination, and facilitate efficient event planning.
2. Artificial Intelligence and User Content This section governs the use of our Artificial Intelligence features and distinguishes between the content the AI generates (AI Content), the prompts You provide to the AI (AI Inputs), and the public content you post in the app (Public Contributions, covered in Section 7).
2.1 AI-Generated Content Disclaimer You acknowledge that all recommendations, itineraries, text, and other materials generated by the AI (“AI Content”) are for informational purposes only.
- No Guarantee of Accuracy: AI Content is generated based on data patterns and may be inaccurate, incomplete, or outdated. It can reflect biases from its training data and may produce unexpected or incorrect information (“hallucinations”). You are solely responsible for independently verifying all AI Content, including addresses, hours, prices, and other details, before relying on it.
- Nutritional and Allergy Information: Any nutritional or allergy information is an estimation and is NOT professional medical or dietary advice. You are solely responsible for verifying all ingredients and preparation methods directly with any venue. MESA is not a medical provider.
- No Liability: To the maximum extent permitted by law, MESA bears no liability for any damages arising from Your reliance on or use of AI Content.
2.2 Your AI Inputs and Prompts When you interact with our AI features, you provide prompts, queries, feedback, and other information (“AI Inputs”). You retain ownership of your AI Inputs.
2.3 License Grant for AI Inputs To enable us to operate, secure, and improve the Application, you grant MESA a limited, non-exclusive, worldwide, royalty-free, sublicensable license to use, copy, reproduce, process, adapt, publish, and display your AI Inputs for the following specific purposes only:
- To Provide the Service: To process your AI Inputs and provide you with AI Content in response.
- To Improve the Service: To use your AI Inputs to train and fine-tune our AI models to improve recommendation quality, accuracy, and safety. This use is subject to your rights to opt-out, as detailed in our Privacy Policy.
- To Protect Our Services: To monitor for and prevent violations of these terms and to ensure the security and safety of the platform. This license is more limited than the one for Public Contributions (Section 8) and is governed by the user controls outlined in our Privacy Policy.
2.4 Acceptable Use of AI Features You agree not to use the AI features to create or share any content that is illegal, harmful, harassing, or that infringes on any third-party rights. You further agree not to submit sensitive personal information into the AI prompts, including but not limited to social security numbers, passport numbers, passwords, or detailed financial or health information not explicitly requested by the Application’s features (such as for dietary preferences).
3. Scope of License You are granted a non-transferable, non-exclusive, non-sublicensable license to install and use the Application on any device that You own or control as permitted by the Apple App Store and Google Play Terms of Service. You may not share, sell, rent, lend, lease, or otherwise redistribute the Application. You may not reverse engineer, decompile, or attempt to derive the source code of the Application. You may not copy or alter the Application or portions thereof, except for backup purposes as permitted. Violations of these obligations may be subject to legal prosecution and damages.
4. Technical Requirements & Updates MESA will endeavor to keep the Application updated, but you are not granted rights to claim any specific update. It is Your responsibility to ensure Your device meets the necessary technical specifications.
5. Maintenance and Support MESA is solely responsible for providing any maintenance and support for the Application. You can reach us at support@mealsocial.com. You acknowledge that Apple and Google have no obligation to furnish any maintenance and support services.
6. Use of Data & Privacy You acknowledge that MESA will access and use your data as described in this Agreement and in our Privacy Policy. By using the Application, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
7. Public User Generated Contributions (“Contributions”) The Application may allow You to create, submit, and post content that is viewable by other users, such as reviews, comments, or photos (“Contributions”). This is distinct from your private AI Inputs. By creating Contributions, you warrant that you are the creator and owner and that your Contributions do not violate any laws or third-party rights. You agree to adhere to our Community Guidelines and Child Safety Policy, as detailed in Section 9.
8. Contribution License For Public Contributions only, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, display, sell, publish, and distribute such Contributions for any purpose. This license does not apply to your private AI Inputs, which are governed by the more limited license in Section 2.3. You retain full ownership of Your Contributions. We have the right, but not the obligation, to monitor, edit, or remove Your Contributions at any time.
9. Child Safety & Community Well-being Policy At MESA, our primary goal is to foster a safe, positive, and connected local community. The safety of all our users, especially children, is our highest priority. This policy outlines our strict standards against child endangerment and our commitment to maintaining a secure platform. All users are required to adhere to these standards.
9.1 Zero-Tolerance for Child Endangerment MESA has a zero-tolerance policy for any content or behavior that endangers, exploits, or abuses children. We strictly prohibit users from creating, uploading, sharing, or distributing any content that facilitates such harm. This includes, but is not limited to:
- Child Sexual Abuse Material (CSAM): Any visual or written depiction of child sexual abuse is strictly forbidden. We will immediately remove such content, terminate the responsible user’s account, and report the incident and the user to the National Center for Missing & Exploited Children (NCMEC) and other appropriate law enforcement agencies.
- Predatory Behavior: We prohibit any use of our app to engage in predatory behavior towards children, such as child grooming, inappropriate interaction, sexualization of a minor, sextortion, or child trafficking.
9.2 Content Appropriate for a Community Platform We are committed to ensuring the platform does not contain adult themes that are inappropriate for younger users. Therefore, we prohibit excessive or gratuitous violence, content that encourages harmful and dangerous activities, and content that promotes a negative body image for entertainment purposes.
9.3 User Responsibilities & In-App Reporting We provide a clear and easy-to-use in-app mechanism for you to report any user, content, or behavior that violates this policy. If you believe a child is in immediate danger, please contact your local law enforcement immediately in addition to reporting it within the app.
9.4 Our Commitment to Action & Compliance Upon becoming aware of a violation, we will take appropriate action, which may include removing the content, terminating the user’s account, and/or reporting the incident to law enforcement. We are committed to complying with all relevant child safety laws, including the mandatory reporting of confirmed CSAM to NCMEC or other regional authorities.
10. Third-Party APIs and Data The Application relies on third-party APIs (e.g., Google Maps Platform, Foursquare API, Google Gemini API). Your use of the Application is also subject to the terms and privacy policies of these providers. You consent to us sharing necessary data with these providers to facilitate Application functionality.
11. Liability MESA’s liability shall be limited to intent and gross negligence. In any case, liability shall be limited to foreseeable, contractually typical damages. This does not apply to injuries to life, limb, or health. MESA takes no responsibility for any damages caused by a breach of this Agreement. BY USING THE APPLICATION, YOU AGREE TO RELEASE, DISCHARGE, AND HOLD HARMLESS MESA and its affiliates from any liability with respect to all aspects of the Application.
12. Warranty MESA warrants that the Application is free of malware at the time of download. No warranty is provided if the Application has been modified or handled inappropriately. If the Application fails to conform to any applicable warranty, you may notify the App Store Operator (Apple or Google) for a refund of the purchase price, to the extent applicable.
13. Product Claims MESA, not Apple or Google, is responsible for addressing any claims relating to the Application, including product liability, legal or regulatory compliance, and claims arising under consumer protection or privacy legislation.
14. Legal Compliance You represent and warrant that You are not located in a country subject to a U.S. Government embargo or designated as a “terrorist supporting” country and that You are not on any U.S. Government list of prohibited parties.

16. Termination The license is valid until terminated. Your rights will terminate automatically if You fail to adhere to any term(s) of this license. Upon termination, You must stop all use of the Application and destroy all copies.
17. Third-Party Beneficiaries Apple, Google, and their subsidiaries are third-party beneficiaries of this Agreement and may enforce it against You.
18. Intellectual Property Rights MESA is solely responsible for the investigation, defense, settlement, and discharge of any intellectual property infringement claims related to the Application.
19. Applicable Law This agreement is governed by the laws of the State of Nevada, United States.
20. Miscellaneous If any term of this agreement is invalid, the validity of the remaining provisions shall not be affected. Changes and amendments are only valid if made in writing.
IF YOU DO NOT AGREE TO BE LEGALLY BOUND BY ALL OF THE FOREGOING TERMS, INCLUDING THE PRIVACY POLICY, PLEASE DO NOT ACCESS AND/OR USE THE APPLICATION.
