MESA SOCIAL PLANNER MOBILE APPLICATION: TERMS & END USER LICENSE AGREEMENT

This MESA AI App End User License Agreement (“License Agreement”) is a binding agreement between You (the “End-User”) and Meal Social Inc., a Nevada corporation, located at 7995 Blue Diamond Rd #102-119, Las Vegas, NV 89113, United States (referred to herein as “Licensor” or “MESA”). This License Agreement governs Your use of the MESA mobile application (“Application” or “MESA AI App”).

By downloading, installing, or using the Application from the Apple App Store, Google Play App Store, or any other authorized source, and any updates thereto, You acknowledge and agree to be bound by all the terms and conditions of this License Agreement.

You acknowledge that Apple Inc. (“Apple”) and Google LLC (“Google”) are not parties to this License Agreement and are not responsible for the Application, including its content, warranties, maintenance, support, or any claims related thereto. MESA is solely responsible for the Application and its content. This License Agreement may not provide for usage rules for the Application that conflict with the latest Apple App Store Terms of Service or Google Play Terms of Service. MESA confirms that it has reviewed said terms and this License Agreement is not in conflict with them.

All rights not expressly granted to You are reserved by MESA.

1. The Application: MESA AI App MESA is a sophisticated AI-powered mobile application designed to eliminate the chaos of planning group meals and events. The Application leverages artificial intelligence, machine learning, and integrations with third-party data providers to offer personalized recommendations, streamline coordination, manage guest preferences, and facilitate efficient event planning based on Your input.

2. AI-Generated Content & Recommendations

2.1 AI-Generated Content & Recommendations Disclaimer: The Application provides recommendations (including but not limited to venues, activities, and itineraries), conversational responses, and other content (“AI Content”) that are generated by Artificial Intelligence (AI) models. AI Content is based on complex algorithms, data analysis, and information gathered from various sources, including third-party APIs (as detailed below) and user-provided data.

  • No Guarantee of Accuracy, Completeness, or Suitability: AI Content is derived from patterns and data, and while MESA strives for accuracy and relevance, it may not always be perfectly accurate, complete, current, or suitable for Your specific circumstances. AI Content is provided for informational and planning purposes only and should be independently verified by You before reliance. MESA does not warrant the completeness, reliability, or accuracy of AI Content.
  • Nutritional and Allergy Information Disclaimer: Any nutritional information (e.g., calorie counts, macronutrient breakdowns) or allergy information provided, if any, is based on estimations, general ingredient data, and third-party sources. It may not be entirely accurate due to variations in brands, preparation methods, portion sizes, cross-contamination risks, or incomplete data. This information is provided for general guidance only and should NOT be considered professional dietary, medical, or health advice. Users with allergies, dietary restrictions, or health conditions are solely responsible for verifying all ingredients, preparation methods, and ensuring the safety and suitability of any food or venue recommendation. Always consult with a qualified healthcare professional, allergist, or dietician for personalized advice. MESA is not a medical provider or nutritionist.
  • No Human Oversight for Every Output: You acknowledge that MESA’s AI models generate responses and recommendations automatically. While MESA implements measures to ensure responsible AI usage, it is not feasible for human review of every piece of AI Content generated.
  • Limitations of AI: AI models can reflect biases present in their training data, may generate outputs that are unexpected, or might occasionally provide inaccurate or nonsensical information. MESA does not guarantee that the AI Content will be free from errors, biases, or offensive material.

2.2 Internal Use of AI-Generated Content & User Data for AI Training and Improvement: You acknowledge and agree that MESA may use anonymized, aggregated, and de-identified data related to Your interactions with the AI, Your planning inputs, selected recommendations, event outcomes, and feedback (excluding personally identifiable information unless governed by Your explicit consent as per the Privacy Policy) for the sole purpose of:

  • Training and Fine-tuning MESA’s AI models to continuously improve recommendation quality, conversational flow, intent understanding, and prediction accuracy.
  • Developing new features, functionalities, and AI models to enhance Application performance and user experience.
  • Internal analytics, research, and product development.

This use is crucial for the continuous improvement of the MESA AI App and is subject to MESA’s Privacy Policy and all applicable data protection laws. MESA will take reasonable steps to ensure the privacy and security of Your data in this process.

2.3 Compliance Disclaimer: The Application is not tailored to comply with industry-specific regulations (e.g., Health Insurance Portability and Accountability Act (HIPAA), Federal Information Security Management Act (FISMA), Gramm-Leach-Bliley Act (GLBA), etc.). If Your interactions would be subjected to such laws, You may not use this Application.

3. Third-Party APIs and Data: The Application’s core functionality relies on integrating with and querying various third-party Application Programming Interfaces (APIs) and services to provide comprehensive recommendations and information. These include, but are not limited to:

  • Google Maps Platform (including Places API, Geocoding API, Directions API): For location search, venue discovery, mapping, geographical data, and traffic estimates.
  • Foursquare API: For venue data, categories, tips, and location-based insights.
  • Eventbrite API: For event discovery, details, and ticketing information.
  • TripAdvisor API: For user reviews, ratings, and travel-related insights regarding venues.
  • Google Gemini API: For advanced AI conversational capabilities, natural language understanding, intent recognition, and generative text generation.
  • Twilio API: For facilitating SMS, text message invitations, and mobile verification services triggered by You.
  • Other Potential APIs (e.g., Yelp, OpenTable, Resy, Uber, Lyft, Calendly, Google Calendar, Outlook Calendar, email service providers): For extended functionalities like reservations, transportation, and scheduling.

3.1 Acknowledgment of Third-Party Terms: You acknowledge and agree that Your use of the Application and the services it provides is also subject to the respective terms and conditions, privacy policies, and acceptable use policies of these third-party API providers. MESA is not responsible for the content, accuracy, availability, or practices of these third-party services. You are solely responsible for reviewing and complying with any applicable third-party terms.

3.2 Data Sharing with Third Parties: You consent to MESA sharing Your anonymized, aggregated, or necessary non-personally identifiable information with these third-party API providers as required to facilitate the functionality of the Application (e.g., sending location data to Google Places API to get venue recommendations). MESA will endeavor to share only the minimum necessary data required for the service.

3.3 API Key Management: API keys for these services are securely managed by MESA on its backend (e.g., using Google Cloud Secret Manager) and are not exposed directly to the End-User.

4. Location Permissions: The Application will request access to Your device’s location services.

  • Purpose: Location data is essential for providing hyper-local recommendations, finding nearby venues, estimating traffic, and coordinating event logistics.
  • Consent: You agree to provide location permissions to enable full functionality. You understand that disabling location services may limit the Application’s ability to provide accurate and relevant hyper-local recommendations.
  • Accuracy: Location data may not always be perfectly accurate. MESA is not responsible for any issues arising from inaccuracies in location data.
  • Privacy: Location data will be collected, used, and stored in accordance with MESA’s Privacy Policy.

5. Scope of License: You are given a non-transferable, non-exclusive, non-sublicensable license to install and use the Licensed Application on any Apple-branded Products that You (End-User) own or control and as permitted by the Usage Rules set forth in this section and the App Store Terms of Service, with the exception that such licensed Application may be accessed and used by other accounts associated with You (End-User, The Purchaser) via Family Sharing or volume purchasing. For Android devices, this license extends to any device owned or controlled by You that supports the Google Play Store, subject to the Google Play Terms of Service.

This license will also govern any updates of the Application provided by Licensor that replace, repair, and/or supplement the first Application, unless a separate license is provided for such update in which case the terms of that new license will govern.

You may not share or make the Application available to third parties (unless to the degree allowed by the Apple Terms and Conditions, and with MESA’s prior written consent), sell, rent, lend, lease or otherwise redistribute the Application.

You may not reverse engineer, translate, disassemble, integrate, decompile, integrate, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Application, or any part thereof (except with MESA’s prior written consent).

You may not copy (excluding when expressly authorized by this license and the Usage Rules) or alter the Application or portions thereof. You may create and store copies only on devices that You own or control for backup keeping under the terms of this license, the App Store Terms of Service, and any other terms and conditions that apply to the device or software used. You may not remove any intellectual property notices. You acknowledge that no unauthorized third parties may gain access to these copies at any time.

Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.

MESA reserves the right to modify the terms and conditions of this license at any time.

Nothing in this license should be interpreted to restrict third-party terms. When using the Application, You must ensure that You comply with applicable third-party terms and conditions.

6. Technical Requirements: MESA endeavors to keep the Application updated so that it complies with modified/new versions of the firmware and new hardware. You are not granted rights to claim such an update. You acknowledge that it is Your responsibility to confirm and determine that the end-user device on which You intend to use the Application satisfies the technical specifications necessary for the Application to function correctly. MESA reserves the right to modify the technical specifications as it deems appropriate at any time.

7. Maintenance and Support: MESA is solely responsible for providing any maintenance and support services for this licensed Application. You can reach MESA at the email address listed in the App Store Overview for this licensed Application. MESA and the End-User acknowledge that Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the licensed Application.

8. Use of Data & Privacy: You acknowledge that MESA will be able to access and use Your downloaded licensed Application content, Your planning inputs, AI interactions, event details, and Your personal information. MESA’s use of such material and information is subject to Your legal agreements with MESA and MESA’s privacy policy: [Insert Link to MESA’s Privacy Policy].

9. User Generated Contributions (“Contributions”): The Application may allow You to interact with features such as chat, group planning, messaging, commenting, suggestions, or other functionality, and may provide You with the opportunity to create, submit, post, display, transmit, perform, publish, distribute, or broadcast content and materials to us or in the Application. This includes, but is not limited to, text, writings, video, audio, photographs, graphics, comments, suggestions, personal information, event details, guest preferences, or other material.

Contributions may be viewable by other users of the Application and through third-party websites or applications. As such, any Contributions You transmit may be treated as non-confidential and non-proprietary. When You create or make available any Contributions, You represent and warrant that:

  • The creation, distribution, transmission, public display, or performance, and the accessing, downloading, or copying of Your Contributions do not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret, or moral rights of any third party.
  • You are the creator and owner of or have the necessary licenses, rights, consents, releases, and permissions to use and to authorize us, the Application, and other users of the Application to use Your Contributions in any manner contemplated by the Application and these Terms of Use.
  • You have the written consent, release, and/or permission of each and every identifiable individual person in Your Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of Your Contributions in any manner contemplated by the Application and these Terms of Use.
  • Your Contributions are not false, inaccurate, or misleading.
  • Your Contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailings, or other forms of solicitation.
  • Your Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, libelous, slanderous, or otherwise objectionable (as determined by us in our sole discretion).
  • Your Contributions do not ridicule, mock, disparage, intimidate, or abuse anyone.
  • Your Contributions are not used to harass or threaten (in the legal sense of those terms) any other person and do not promote violence against a specific person or class of people.
  • Your Contributions do not violate any applicable law, regulation, or rule.
  • Your Contributions do not violate the privacy or publicity rights of any third party.
  • Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits people under the age of 18 in a sexual or violent manner.
  • Your Contributions do not violate any applicable law concerning child pornography, or otherwise intended to protect the health or well-being of minors.
  • Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference, or physical handicap.
  • Your Contributions do not otherwise violate, or link to material that violates, any provision of these Terms of Use, or any applicable law or regulation.

Any use of the Application in violation of the foregoing violates these Terms of Use and may result in, among other things, termination or suspension of Your rights to use the Application.

9.1 Social Networking Features & User Interaction: The Application includes social networking features that allow You to discover, connect with, and interact with other users (including app users and non-app users via text/email invites). These features may include profile viewing, sending/accepting connection requests, sharing event details, and facilitating communication related to planned events.

  • User Responsibility: You are solely responsible for Your interactions with other users and for the content You share. MESA is not responsible for the conduct of any user.
  • Community Guidelines: You agree to adhere to MESA’s Community Guidelines (which may be provided separately or within the app) when using social features, promoting a respectful and safe environment.
  • Reporting Misconduct: MESA provides mechanisms for reporting inappropriate content or behavior. MESA reserves the right to investigate and take appropriate action in its sole discretion.

10. SMS Invitations & Mobile Communications: The Application allows You to invite friends, family, and contacts (“Recipients”) to events or threads via Short Message Service (“SMS”) or text messaging, facilitated through our third-party provider, Twilio.

10.1 User as Sender: You acknowledge and agree that You are the sender of these SMS invitations. The Application merely acts as a tool to facilitate the composition and transmission of the message at Your specific direction. MESA does not automatically send SMS messages to any Recipient without Your direct action (e.g., selecting a contact and tapping “Send” or “Invite”).

10.2 Consent and Representation: By using the SMS invitation feature, You represent and warrant that:

  • You have obtained the necessary consent from the Recipient to send them text messages regarding Your events.
  • You will not use this feature to send spam, harassment, or unsolicited marketing messages.
  • You will not invite individuals who have previously asked You not to contact them.

10.3 Message & Data Rates: You acknowledge that standard message and data rates charged by the Recipient’s mobile carrier may apply to the SMS messages sent via the Application. MESA is not responsible for any charges incurred by You or the Recipient.

10.4 Indemnification for SMS Usage: You agree to indemnify, defend, and hold harmless MESA and its affiliates from any claims, damages, or liabilities (including legal fees) arising out of or related to Your use of the SMS invitation feature, including but not limited to claims under the Telephone Consumer Protection Act (TCPA) or similar laws resulting from Your failure to obtain necessary consent from Recipients.

10.5 Opt-Out: Recipients may opt-out of receiving further SMS communications from the Application by following the instructions provided in the message (e.g., replying “STOP”). You acknowledge that if a Recipient opts out, You may not be able to send them future invites through the Application.

11. Contribution License: By posting Your Contributions to any part of the Application or by making Contributions accessible to the Application by linking Your account from the Application to any of Your social networking accounts, You automatically grant, and You represent and warrant that You have the right to grant, to us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right and license to host, use, copy, reproduce, disclose, sell, resell, publish, broadcast, retitle, archive, store, cache, publicly display, reformat, translate, transmit, excerpt (in whole or in part), and distribute such Contributions (including, without limitation, Your image and voice) for any purpose, commercial advertising, or otherwise, and to prepare derivative works of, or incorporate in other works, such Contributions, and grant and authorize sublicenses of the foregoing. This use and distribution may occur in any media formats and through any media channels now known or hereafter developed.

This license will apply to any form, media, or technology now known or hereafter developed, and includes our use of Your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names, logos, and personal and commercial images You provide. You waive all moral rights in Your Contributions, and You warrant that moral rights have not otherwise been asserted in Your Contributions.

We do not assert any ownership over Your Contributions. You retain full ownership of all of Your Contributions and any intellectual property rights or other proprietary rights associated with Your Contributions. We are not liable for any statements or representations in Your Contributions provided by You in any area in the Application. You are solely responsible for Your Contributions to the Application and You expressly agree to exonerate us from any and all responsibility and to refrain from any legal action against us regarding Your Contributions.

We have the right, in our sole and absolute discretion, (1) to edit, redact, or otherwise change any Contributions; (2) to re-categorize any Contributions to place them in more appropriate locations in the Application; and (3) to pre-screen or delete any Contributions at any time and for any reason, without notice. We have no obligation to monitor Your Contributions.

12. Liability: Meal Social Inc.’s responsibility in the case of violation of obligations and tort shall be limited to intent and gross negligence. Only in the case of a breach of essential contractual duties (cardinal obligations), Meal Social Inc. shall also be liable in case of slight negligence. In any case, liability shall be limited to the foreseeable, contractually typical damages. The limitation mentioned above does not apply to injuries to life, limb, or health.

MESA takes no accountability or responsibility for any damages caused due to a breach of duties according to the Scope of License section of this Agreement. To avoid data loss, You are required to make use of backup functions of the Application to the extent allowed by applicable third-party terms and conditions of use. You are aware that in case of unauthorized alterations or manipulations of the Application, You will not have access to the licensed Application.

BY UTILIZING THE APPLICATION, ALL USERS ACKNOWLEDGE AND AGREE THAT MESA, ITS PARENT COMPANY MEAL SOCIAL INC., AND THEIR RESPECTIVE AFFILIATES, OFFICERS, AGENTS, EMPLOYEES, AND PARTNERS (COLLECTIVELY, THE “INDEMNIFIED PARTIES”) ARE RELEASED, DISCHARGED, AND HELD HARMLESS FROM AND ARE NOT RESPONSIBLE OR LIABLE FOR ANY LIABILITY WITH RESPECT TO ALL ASPECTS OF THE APPLICATION (INCLUDING WITHOUT LIMITATION, ANY ILLNESS, LOSSES, LITIGATION, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, AND CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, OR INVASION OF PRIVACY, REASONABLE ATTORNEYS’ FEES AND COURT COSTS) THAT MAY OCCUR FROM USE OF THE APPLICATION OR THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF INFORMATION, MATERIALS, SERVICES OR PRODUCTS RELATED THERETO OR ACQUIRED THEREFROM. WE RESERVE THE RIGHT AT ANY TIME AND WITHOUT LIABILITY TO RESTRICT OR REFUSE ACCESS TO THE APPLICATION AND ITS SERVICES, CONTENT, MATERIALS AND FUNCTIONS TO ANYBODY. WE FURTHER RESERVE THE RIGHT TO SEEK ANY FORM OF RELIEF, INCLUDING WITHOUT LIMITATION ATTORNEYS’ FEES, RELATED TO FRAUDULENT OR ILLEGAL ACTIVITY CONNECTED WITH THE USE OF THE APPLICATION.

13. Warranty: MESA warrants that the Application is free of spyware, Trojan horses, viruses, or any other malware at the time of Your download. MESA warrants that the Application works as described in the user documentation.

No warranty is provided for the Application if it is not executable on the device, has been unauthorizedly modified, handled inappropriately or culpably, combined or installed with inappropriate hardware or software, used with inappropriate accessories, regardless of whether by Yourself or by third parties, or if there are any other reasons outside of MESA’s sphere of influence that affect the executability of the Application.

You are required to inspect the Application immediately after installing it and notify MESA about issues discovered without delay by e-mail provided in the Contact Information section. The defect report will be taken into consideration and further investigated if it has been mailed within a period of ninety (90) days after discovery.

If we confirm that the Application is defective, MESA reserves the choice to remedy the situation either by means of solving the defect or substitute delivery.

In the event of any failure of the Application to conform to any applicable warranty, You may notify the App Store Operator (Apple or Google), and Your Application purchase price will be refunded to You. To the maximum extent permitted by applicable law, the App Store Operator will have no other warranty obligation whatsoever with respect to the Application, and any other losses, claims, damages, liabilities, expenses, and costs attributable to any negligence to adhere to any warranty.

If the user is an entrepreneur, any claim based on faults expires after a statutory period of limitation amounting to twelve (12) months after the Application was made available to the user. The statutory periods of limitation given by law apply for users who are consumers.

14. Product Claims: MESA and the End-User acknowledge that MESA, and not Apple or Google, is responsible for addressing any claims of the End-User or any third party relating to the licensed Application or the End-User’s possession and/or use of that licensed Application, including, but not limited to:

  • Product liability claims;
  • Any claim that the licensed Application fails to conform to any applicable legal or regulatory requirement; and
  • Claims arising under consumer protection, privacy, or similar legislation.

15. Legal Compliance: You represent and warrant that You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and that You are not listed on any U.S. Government list of prohibited or restricted parties.

17. Termination: The license is valid until terminated by MESA or by You. Your rights under this license will terminate automatically and without notice from MESA if You fail to adhere to any term(s) of this license. Upon License termination, You shall stop all use of the Application, and destroy all copies, full or partial, of the Application.

18. Third-Party Terms of Agreements and Beneficiary: MESA represents and warrants that MESA will comply with applicable third-party terms of agreement when using the licensed Application.

In accordance with Section 9 of the “Instructions for Minimum Terms of Developer’s End-User License Agreement,” Apple and Apple’s subsidiaries shall be third-party beneficiaries of this End User License Agreement and – upon Your acceptance of the terms and conditions of this license agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this End User License Agreement against You as a third-party beneficiary thereof. This also extends to Google LLC and its subsidiaries for Android users, where Google will be a third-party beneficiary.

19. Intellectual Property Rights: MESA and the End-User acknowledge that, in the event of any third-party claim that the licensed Application or the End-User’s possession and use of that licensed Application infringes on the third party’s intellectual property rights, MESA, and not Apple or Google, will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claims.

20. Applicable Law: This license agreement is governed by the laws of the State of Nevada, United States, excluding its conflicts of law rules.

21. Miscellaneous: If any of the terms of this agreement should be or become invalid, the validity of the remaining provisions shall not be affected. Invalid terms will be replaced by valid ones formulated in a way that will achieve the primary purpose.

Collateral agreements, changes, and amendments are only valid if laid down in writing. The preceding clause can only be waived in writing.

IF YOU DO NOT AGREE TO BE LEGALLY BOUND BY ALL OF THE FOREGOING TERMS, PLEASE DO NOT ACCESS AND/OR USE THE APPLICATION.
